Cameron International Corporation (NYSE: CAM)

We are investigating whether Cameron International Corporation (NYSE: CAM)) breached its fiduciary duties in connection with possible violations of the U.S. Foreign Corrupt Practices Act (“FCPA”) with the Company’s operations in Africa. In January 2007, Cameron underwent a Pre-Assessment Survey as part of a Focused Assessment initiated by the Department of Homeland Security. The Pre-Assessment Survey found that the Company had deficiencies in its U.S. Customs compliance processes. In July of 2007, Cameron disclosed in a filing with the U.S. Securities & Exchange Commission (“SEC”) that the Department of Justice (“DOJ”) was seeking documents and other information related to the Company’s business operations in Nigeria and Angola and specifically whether bribes or other consideration was paid to customs clearance brokers. Federal investigators have also been looking into whether other immigration and importation law violations may have occurred. In response, Cameron has reportedly hired special counsel to perform its own internal investigation. This federal inquiry expanded in 2008 when the SEC opened an inquiry similar to the one pending at DOJ and the SEC has requested all of the same information and documents provided to the DOJ.
