The firm is investigating the following transaction on behalf of shareholders.

The investigation concerns whether the Kensey Nash directors are breaching their fiduciary duties by failing to adequately shop the Company and maximize shareholder value.

Kensey Nash Corporation announced that it has entered into a definitive agreement with Royal DSM under which DSM has agreed to acquire all of the common stock of Kensey through a cash tender offer, for $38.50 per share, or $360 million, a 33% premium to its closing price of 5/2/12. Kensey is a leading biomedical company focused on regenerative medicine; it developed the leading arterial closure device in the world.

The announcement comes on the heels of three recent developments: (1) positive earnings, including a 19% year-over-year increase in quarterly revenue and a 33% increase in net sales. Its EBITDA margins are above 30%. Kensey expects to generate sales of $90 million this year; (2) a settlement with St. Jude Medical just last month, in which Kensey will receive $39 million over the next three years; and (3) an announcement just last week that the Company had achieved "several milestones for its Meso BioMatrix™ surgical mesh including the first clinical implant of the product," and that it had received "510k clearance for its Meso BioMatrix™ Wound Matrix," allowing for the use of the Meso BioMatrix™ device in the management of topical wounds.
