What we’re investigating

Henzel Law is investigating potential claims on behalf of Arlo Technologies, Inc. (“Arlo” or the “Company”) (NYSE: ARLO), relating to whether the Company’s directors and officers breached their fiduciary duties in connection with equity compensation awarded to executives. No lawsuit has been filed yet, no deadline is currently running, and no court has ruled on the merits of any matter described on this page.

The firm is particularly interested in hearing from long-term shareholders who acquired Arlo stock in or before 2022 and continue to hold their shares today.

What the filings show

Arlo’s 2025 proxy statement acknowledges shareholder dissatisfaction with the advisory vote on executive compensation and describes changes the Company made in response. Those changes included modifying a retention program adopted in 2022 and committing to performance-based annual equity awards going forward.

What the investigation is examining

A company changing its compensation practices after a poor say-on-pay vote is not by itself a breach of duty. What this investigation is examining is the awards that prompted the change: whether the special and off-cycle grants made under the 2022 retention program were within the eligibility, individual limit, and approval requirements of the governing equity incentive plan, and whether the directors who approved them acted on an informed basis and in the Company’s interest.

A preliminary estimate places the amount at issue at approximately $5.75 million. That figure is an estimate only. It has not been established, and no court has found that any award violated the governing plan.

Why we are seeking long-term shareholders

Claims of this kind are brought on behalf of the Company itself rather than on behalf of individual investors. They generally require a shareholder who owned stock at the time of the conduct at issue and who has continued to own it since. That is why Henzel Law is seeking long-term Arlo shareholders.

Who this may affect

You may be able to help, and may have rights worth reviewing, if you are a current shareholder who acquired Arlo Technologies, Inc. common stock in or before 2022 and still holds those shares today, or a former employee, officer or other individual with knowledge of the matters described above.

There is no cost or obligation to contact Henzel Law about this investigation. The estimated period stated above is the firm’s own preliminary estimate based on publicly available information; it has not been established by any court and may change as the investigation develops. Nothing on this page is an assertion that any Arlo officer, director or employee has been found to have violated any law.
